These terms and conditions govern Your participation in any virtual event, webinar, meeting, seminar, conference or other digital product (the “Digital Platform”) which is owned and operated by RX FRANCE a French joint stock company with a capital of 90,000,000 euros, having its registered offices at 52 Quai Dion Bouton 92800 Puteaux, France, registered with the Nanterre Companies Registry under n°410 219 364 or any subsidiary of Reed Exhibition Ltd from time to time (“the Management”).
Digital Platform Users Terms and Conditions
Introduction
Digital Platform Registration
By registering for the Digital Platform, You agree to and accept these terms which form a binding legal contract between the Management and the registered User (“You”, “Your(s)” or “User”), which are incorporated within the LICENSE: GENERAL TERMS & CONDITIONS DIGITAL OFFERING.
Your registration entitles You to access to the Digital Platform for which You have registered. Any and all costs associated with Your attendance shall be borne by You and/or your organisation. The Management shall have no liability for such costs.
You will be sent a confirmation email once You have successfully registered for the Digital Platform. The confirmation email will contain important information regarding Your attendance at the Digital Platform including Digital Platform login/access information and it is Your responsibility to ensure that the email address that You provide on registration is correct.
Only pre-registered Users may attend the Digital Platform. You are not permitted to share, or transfer the Digital Platform login access link and/or code provided by the Management to any third party unless You have sought and obtained the express written consent to do so from the Management.
No one under the age of 18 will be able to attend the Digital Platform without the prior written approval of the Management.
User Conduct
Users shall conduct themselves in an appropriate, professional and business-like manner during the Digital Platform. Offensive, abusive, or discriminatory language and/or behaviour is not permitted.
If you wish to report User’s inappropriate content or behavior (i) content that violates our Code of Conduct and / or (ii) any content that violates laws on discrimination, defending terrorism, harassment, violence, we invite you to complete this form, and then please, choose the category “Report inappropriate content”.
We will investigate and do our best to remove the content, if applicable.
You acknowledge that the Management reserves the right to exclude, or remove Users from the Digital Platform if in its sole discretion the Management determines that Your behaviour in any way breaches these terms and conditions and/or is disruptive, or hinders the enjoyment of the Digital Platform by exhibitors, sponsors or other Users.
The Management’s decision is final and the Management accepts no responsibility or liability for any costs, claims, damages or expenses incurred by the User in connection with such exclusion or removal.
Users are prohibited from making any form of recording (including audio or video) or taking screen shots or photographs of any part of the Digital Platform. You are prohibited from copying and circulating any materials, content or exhibitor, sponsor or User lists provided by the Management at, or in relation to the Digital Platform except with the prior written consent of the Management, to be granted or withheld at the Management’s discretion.
Registration Fees
The payment of any applicable fee (together with any applicable taxes) for the Digital Platform is due in full at the time of registration and in any event prior to you accessing the Digital Platform. If such payment is declined for any reason, the Management may refuse to allow You access to the Digital Platform and shall have no liability to You in that regard.
Term and renewal
These terms and conditions is concluded for one (1) year from the 1st day of the month following the date of the registration/agreement order (the “Date”).
Unless written notification that terminate the Agreement after giving one (1) month notice, the Agreement will be automatically renewed every year on the same Date under the same terms.
Cancellation Policy
No refunds will be given if You cancel Your booking or fail to attend the Digital Platform. However, You may substitute another person in Your place at no cost provided that this is notified to the Management no later than 48 hours prior to the Digital Platform and is agreed by your organisation (if any). If You are unable to attend the Digital Platform, You will need to send an email to the contact email address contained in Your confirmation email to request the attendance of a colleague. Your colleague will then be sent a request to register for the Digital Platform to enable them to attend.
Force Majeure
If the Management is delayed , hindered or prevented from hosting the Digital Platform as a result of a force majeure event (which means any act, event, omission or accident beyond its control reasonable control, including but not limited to strikes (save for its own workforce), lock-outs, failure of a utility service or transport or telecommunications network, software failure, act of God, epidemic, pandemic, World Health Organisation travel advisory or travel alert, war, riot, civil commotion, malicious damage, accident, government and / or local authority restraints, regulations or orders, fire, flood, or storm) the Management may cancel or postpone the Digital Platform.
If the affected Digital Platform is cancelled or postponed as a result of a force majeure event, the Management will reschedule the Digital Platform and Your registration fee (if any) will be rolled over to the rescheduled Digital Platform.
If the Management cancels the Digital Platform for any reason other than in relation to a force majeure event, You shall be entitled to a refund of any registration fees paid less any applicable administration fee as advised by the Management.
Digital Platform Content
All rights in all presentations, materials and documentation published or otherwise made available as part of the Digital Platform (including the Digital Platform name, logo exhibitor, sponsor and User lists) (“Content”) are owned by the Management, or are included with the permission of the owner of the rights. No (i) photography, filming or recording; or (ii) republication, broadcast or other dissemination of the Content is permitted. You shall not distribute, reproduce, modify, store, transfer or in any other way use any of the Content (save that use by the relevant User for internal business purposes shall be permitted), and in particular (but without limitation) You shall not:
· upload any Content onto any website, intranet or shared system or include any Content in a database;
· transmit, re-circulate or otherwise make available any Content to any third party;
· use the Content in any way that might infringe third party rights or that may bring the Management into disrepute; or
· make any commercial use of the Content.
To the extent that any Content is published online by the Management, the Management reserves the right to remove or suspend access to such Content at any time.
The Management is not responsible for the Content of any speaker’s presentation; such Content is the opinion of the speaker and not of the Management.
Indemnity
You agree to indemnify, defend and hold harmless the Management and its officers, directors, employees agents and affiliates from all damages, liabilities and expenses (and all legal costs including reasonable lawyers fees, court costs, expenses and settlements resulting from any action or claim) arising out of, connected with or resulting in any way from any act or omissions by You or Your negligence during your attendance and participation in the Digital Platform or otherwise in relation to the Digital Platform.
Liability
The Digital Platform is delivered over the internet, and accordingly, is subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. The Management shall not be responsible for any delays, delivery failures, viruses, hacker intrusions or other damage resulting from such problems.
To the fullest extent permitted by law, the Management’s aggregate liability to You, whether such liability arises in contract, tort (including negligence) or otherwise, for any damages, loss, costs, claims or expenses of any kind howsoever arising, out of or in connection with any Digital Platform booking (or requested Digital Platform booking) made by You or otherwise in relation to the Digital Platform, shall be limited to the amount of the User’s paid registration fee.
The Management will not be liable under contract, tort or for breach of statutory duty or otherwise with reference to any matter arising directly or indirectly out of or related to any Digital Platform booking (or requested Digital Platform booking) made by a User or otherwise in relation to the Digital Platform, for any indirect, consequential, incidental or punitive loss, damage or liability or for loss of profits, loss of business, loss of use, loss of data and loss of reputation.
Nothing in these terms and conditions shall limit or exclude the Management’s liability for death or personal injury caused by its negligence.
Data Protection
By registering for an Digital Platform, Your registration details will be available to the Management and its affiliates to deliver the Digital Platform as well as to contact You with information about similar events and services in accordance with the Management’s Privacy Policy which can be found here: https://privacy.reedexpo.com
General
The Management reserves the right in its sole discretion to vary any aspect of the Digital Platform, including but not limited to the Digital Platform content, programme, speakers, dates and times. Any such changes shall be made available on the Digital Platform’s web page.
These terms and conditions may be amended by the Management from time to time. Any such changes will be displayed on the Management’s Digital Platform’s web page.
If any provision (or part of a provision) of these terms and conditions is found by any court or administrative body to be invalid, unenforceable or illegal, the other provisions shall remain in full force and effect.
These terms and conditions shall be governed by English law and shall be subject to the exclusive jurisdiction of the English Courts.
